These terms and conditions is an agreement in electronic format between you as an end-user and Collbox. By accessing and using our services, you are agreeing that you will be bound by and act in accordance with the terms and conditions of this agreement.

We may update this agreement at any time, with no prior notice to you. The latest agreement will be posted on the website for your review before you sign up for our service. If you do not agree with any or all of the terms and conditions of this agreement, you must cease our service; your continued use of our service will imply your acceptance of this agreement.

Service Description

Collbox reserves the right to cancel customer accounts at any time with or without notice. Providing false or invalid account information may result in the termination of your account.

Payment Information

Collbox customers agree to supply appropriate payment for the products services received, in advance of the time period during which such services are provided.

Indemnification

Customer agrees that it shall defend, indemnify, save and hold Provider harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against Provider, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Provider against liabilities arising out of;

• Any injury to person or property caused by any products sold or otherwise distributed in connection with Provider.
• Any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party.
• Any copyright infringement.
• Any defective products sold to customers from Provider's server.

Disclaimer

Provider shall not be responsible for any damages your business may suffer. Provider makes no warranties of any kind, expressed or implied for services we provide. Provider disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, no deliveries, wrong delivery, and any and all service interruptions caused by Provider and its employees.

Disclosure to Law Enforcement

Provider may disclose any subscriber information to law enforcement agencies without further consent or notification to the subscriber upon lawful request from such agencies. We will cooperate fully with law enforcement agencies.

Changes Site Content and Services

Collbox reserves the right to revise its policies at any time without notice.

License

Subject to the terms and conditions of this agreement, Collbox grants you a limited, non-transferable right to use our service to manage your business operations for the term of the agreement unless terminated; provided that you may not use our service in a resale capacity, or process third party data. Collbox has all rights, title, and interest in Collbox application and any materials supplied to you by us.The parties agree that the functionalities cannot be altered, amended or modified as per individual/ a single party requirement. The customer has no ownership interest in the Software or Service Provider materials provided to the Customer. Service Provider will own all right, title, and interest in such Software and Service Provider materials, subject to any limitations associated with the intellectual property rights of third parties. Service Provider reserves all rights not specifically granted herein.

Unless otherwise specifically stated in the Quote, the type of license granted is a per Staff User Account. The customer shall ensure that the number of the active Staff User Accounts is equal to or less than the number of Staff User Accounts for which the Customer has subscribed. The customer is responsible for ensuring that access to a Staff User Account is not shared. Only one individual may authenticate to one Staff User Account.

Limitations

You shall not sell or resell, transfer, distribute or otherwise exploit or give access to any third party of our service except as permitted under the agreement to develop your own business.

• modify or make derivatives based upon our service.
• create “links” to our service or “frame” or “mirror” any portion of our service on any other server or wireless or Internet-based device, or
• Access our service in order to;

(a) Build a competitive product,
(b) Build a product or service using similar functionality, ideas or graphics incorporated in our service, or
(c) Copy any functionality, ideas or graphics represented by or incorporated in our service.

Resources

Collbox will provide and operate the cloud based servers including our application functionality available to you as provided in this agreement.

Service Availability

Subject to the terms and conditions, Collbox will use reasonable efforts to provide our service for 24/7. You agree that from time to time our service may be inaccessible or not possible to use for different reasons, like periodic maintenance procedures or upgrades, service malfunctions, and reasons beyond our control or which are anticipated by us, that might include the interruption or failure of telecommunications or digital transmission links, hostile network attacks or network jamming or any other failures. Collbox will make reasonable efforts to reduce any disturbance, inaccessibility, or inoperability of our service in connection with these downtimes. Collbox will not be responsible for any damages or costs incurred, lost profits if any that may occur due to downtime. Lease line is recommended for agencies having more than 50 concurrent users.

Payment

You agree to pay Collbox the fees specified in the plan corresponding to the service level to which you have subscribed. All payments or reimbursements under this agreement must be received by Collbox within 3 days of your subscription period.. If you cancel your Collbox services, we are not obligated to refund the service charges that have already been paid. Cancellation will take effect at the end of the service period unless an earlier date is requested.

Registration Obligations

You are in agreement to:

(a) Provide true and complete information as asked on the Collbox Service’s registration form.

(b) Maintain and timely update the registration data so that it remains accurate, true and up to date.

If you provide any false information, Collbox has grounds to suspect that such information is incorrect, inaccurate or not current, and has the right to suspend your account and decline all current or future usage of our service. You are responsible to safeguard your own login credentials, and also for all activity occurring on your account.

Terms and Termination

Upon the acceptance of your registration information along with the initial payment, this agreement will commence and shall continue until it is terminated by either party for breach of its terms. For violations of this Agreement, Collbox has the authority to terminate your access to our service. Any violation of your payment obligations or unauthorized use of our service will adjudge to be a material breach of this Agreement. We may terminate your account, or use of our service if you breach or otherwise fail to meet the terms with of this Agreement.

Deletion of your Information

Your personal information, as well as any User Content you make available to us belongs to you. If you wish to delete your information from our system, all you need to do is just contact us. We will confirm your request (to verify that it’s really you) and we will delete your information as promptly as possible. Once your requested information is deleted, we will notify you.
